Service Agreement of Yubibao Platform (Locked Staking)

Dear LBank users,

In order to protect your rights and interests, please read all the contents of this agreement in detail before using the services of the Yubibao platform, especially the contents underlined in bold. If you do not agree with any content of this agreement, please do not register or use this service. This agreement is between you and Tokenmania Asset Management Corporation (hereinafter referred to as "TAMC") and has legal effect. After that, you shall not make any kind of defense by not reading the contents of this agreement.

Click "I have read and accepted the User Agreement on Yubibao " (Including but not limited to signature or seal confirmation) to indicate that you have read, understood, and confirmed your consent to be subject to the Agreement. In order to ensure the normal provision of services, various rules, page displays, operating procedures, announcements, or notices related to the service of the Yubibao platform that has been published or may be released from time to time (hereinafter collectively referred to as “Yubibao platform rules”) and is also an important part of the agreement. If this agreement changes and your rights and obligations change, we will announce it through the website announcement or other reasonable ways to inform you, please pay attention to the content of the changed agreement. If you continue to use Yubibao services after the changes to this agreement take effect, it means that you are willing to accept the changed agreement and will also use Yubibao services in accordance with the changed agreement.

1. Related definitions

Unless otherwise agreed in this agreement, the following terms in this agreement are defined as follows:

1.1 Yubibao platform services: This service is provided by TAMC, which refers to provide the digital asset product market, digital asset industry, and product information that can be directly or indirectly searched through the Yubibao platform. Through the Yubibao platform and the cooperated digital asset trading agency system to directly connect or cooperate to provide you with technical services for online digital asset product value management, digital asset product trading and transaction management, and information inquiry. Specific services are subject to the actual services provided.

1.2 LBank Wallet: Yes (Company description), you can enter the Yubibao platform through LBank to accept this service. LBank only accepts your and/or TAMC's authorization or commission according to this agreement to provide the display of Yubibao services, digital assets collection, or transfer services. The cooperation between you and TAMC in asset transactions and management is not relevant to LBank. You should choose products or services carefully, and the losses caused by this are not relevant to LBank.

1.3 LBank login name: The LBank login refers to the name that you applied for registration to log in to the Yubibao platform and accept the services of the Yubibao platform.

1.4 LBank Account: This refers to the virtual account obtained by you through LBank identity verification for you to use LBank services.

2. Statement and commitment

2.1 You shall abide by this agreement and the relevant rules and regulations stipulated by LBank from time to time, especially regarding the updates of personal information, LBank login name, LBank account security, LBank service usage rules, Yubibao services, etc.

2.2 In order to facilitate your use of this service, you need to register to use the LBank service, except as otherwise rules provided by the Yubibao platform. Before using Yubibao services to perform digital asset product value management, digital asset product trading and transaction management, and information query, you need to ensure that you meet the requirements of the cooperative digital asset agency and the rules of the Yubibao platform, and you must actively know specific information about relevant digital asset products, confirm that you have the corresponding risk identification ability and risk tolerance. Otherwise, please do not conduct value management or transaction behavior.

2.3 You need to log in to Yubibao Value Management through your LBank login name. You shall promise to use your mobile phone number or other means of login that we allow. In order to improve the security of the service, we may take all necessary means to authenticate you, and based on this, we will determine the type and scope of services provided to you and the authority to conduct business operations. To ensure the security of your digital assets, we will set different security policies based on different factors such as your LBank account type, identity authentication measures, and transaction risk.

2.4 Identity information is the basis of our identification. All the operations performed or instructions issued by using the identity information are deemed made by you. You shall be responsible for the consequences, so we remind you that the identity information must be properly kept, and you must not provide it to any third party. Any risks and losses incurring from embezzled or illegal use of the account, password, and other information which are not caused by us shall be borne by you.

2.5 All meanings involved in this agreement indicate that you need to issue them in accordance with the business process of Yubibao or LBank and comply with this agreement, the "LBank Service Agreement" (if any, or other agreement names). In order to ensure the security of services or transactions, the aforementioned meanings (including but not limited to forms of consent, commitment, authorization, approval, or instruction) cannot be changed and canceled, except as otherwise stipulated in this agreement and the rules of Yubibao platform or otherwise agreed with you.

2.6 Even if you meet the conditions agreed in this agreement, the realization of the transaction may still be subject to other factors (including but not limited to market risk, the willingness of each party of trading, and the ability to cooperate with the digital asset institution system). TAMC and its affiliates only provide you with digital assets for information platform services and related technical services, please know and understand that we do not make sure of achievable commitments for this.

2.7 You agree to use Yubibao or other digital asset paths that we believe meet the needs of product transactions as one of the digital asset trading channels. Yubibao and its affiliates may reasonably adjust your transaction digital asset channels based on system technical requirements. The digital asset channels that can be used on the Yubibao platform shall prevail.

2.8 In order to better serve you, we will provide you with product information query services according to the needs of the cooperative digital asset agency and related products, but the queries’ results shall be based on the data recorded by the cooperative digital asset agency system. In the event of display delays, errors, or improper user benefits due to Yubibao platform and its affiliated companies, system errors, failures, or other reasons, you agree that we can take actions to correct errors, deduct payments, and suspend services. In the case of your improper profit, you agree and authorize us to deduct and/or from your relevant digital asset channels (including but not limited to LBank account balance, Yubibao, etc.) directly or through third-party institutions. The corresponding amount will be deducted by the redemption of Yubibao shares and other methods. You agree and authorize LBank and other third-party institutions to perform corresponding operations according to our instructions, and the third-party institutions will not be liable to you for the foregoing operations.

3. Settlement of transaction digital assets

In order to protect your transaction security and convenience, all digital asset settlements you generate on Yubibao platform will be entrusted to LBank for processing. Due to the abnormal status of your LBank account or other designated accounts, you cannot provide sufficient digital assets, which will cause the transaction digital assets to not be transferred normally or the transaction cannot be concluded. The relevant consequences and losses shall be borne by you.

4. Service fee

Due to operating costs, when you use this service, we have the right to charge you a certain service fee, but at this stage, we do not charge. If we charge, the service fee shall be charged based on the display of Yubibao or your agreement with us. Depending on the operating conditions, we may unilaterally adjust the above charging standards, but advance notice will be provided, and such notices will constitute an effective supplement to this agreement. From the starting date stated in the notice, if you continue to use the service, you will be deemed to agree that we will charge you for the service fee in accordance with the adjusted fee standard. If you do not agree, you will need to stop using the Yubibao service.

5. Risk Disclosure

5.1 You acknowledge and agree that the transactions you complete through the Yubibao platform and partner digital asset agencies may face the following risks, which you shall bear at your own risk:

(1) Regulatory risks: You may encounter losses due to amendment of national laws, regulations, or macro-policies which may influence the normal transaction of cryptocurrencies.

(2) Default Risk: You may suffer losses due to the inability or unwillingness of your counterparty to perform the contract.

(3) Principal loss and return risk: The transactions you participate in cannot achieve the expected return due to specific reasons, so you cannot obtain more returns or rewards, and may even lose the principal;

(4) Deal risk: The transaction you participated in may not be finally concluded, and you will suffer losses as a result;

(5) Technical risk: Because product transactions are carried out based on Internet technology if the related network or telecommunications infrastructure fails or encounters illegal attacks, you may suffer economic losses as a result;

(6) Risks caused by force majeure factors;

(7) Any loss caused by your fault, including but not limited to: mistakes in decision making, improper operation, forgetting or leaking account passwords, the computer system you use has been intruded on by a third party, and you have entrusted others to carry out agency transactions.

5.2 We do not provide any guarantees or conditions for you and/or any transactions, whether express, implied, or statutory. Relevant product information is provided and displayed to you by the cooperative digital asset institution, and you should make value management decisions after independent judgment. Please pay special attention that the above content does not reveal all the risks of your trading and all the situations of the market. Before making a transaction decision, you should carefully read the relevant product contracts and risk disclosure documents, fully understand the relevant transactions, make prudent decisions, and bear all risks yourself.

6. Limited Liability

Yubibao will be exempt from any liability for damages if Yubibao is unable to function properly due to the following circumstances, including but not limited to: (1) During the system shutdown maintenance or upgrade of the Yubibao platform;

(2) The telecommunication equipment fails;

(3) Due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, blackouts, wars, terrorist attacks, etc., the Yubibao platform system obstacles cannot function properly;

(4) Your mobile phone software, system, hardware, communication lines, and power supply lines are faulty;

(5) You have used the service improperly or in a way that is not authorized or approved by us;

(6) Service interruption or delay caused by viruses, Trojans, malicious program attacks, network congestion, system instability, system or device failure, communication failure, exchanges’ reasons, other third-party problems, etc .;

(7) Other reasons not attributable to us.

In the case where we charge you, our total liability for breach of contract for this agreement shall not exceed the total service fee charged to you. Due to the cooperative digital asset institution system or human reasons, the delay in the arrival of digital assets and other issues will be resolved as soon as possible, but we will not be liable for compensation.

7. Termination of the agreement, early termination, and transfer of rights and obligations

7.1 Agreement Change

Due to operational adjustments and other reasons, we may amend this agreement in due time. If the relevant amendments change your rights and obligations, we will promptly publish the announcement or notification procedures to you in accordance with this agreement. We also encourage you to check the contents of this agreement every time you use this service.：

7.2 Cancellation and termination of the agreement

In order to prevent risks, we will cancel this agreement as needed if the following situations occur in the process of using the Yubibao platform service:

(1) Your LBank account is canceled for any reason;

(2) Your actions may cause significant damage to the interests of the transaction counterparty;

(3) When the relevant money should be deducted from your relevant account, there is no full amount of digital assets in your relevant account, and you did not provide it in time within the prescribed period;

(4) Using the name of others, embezzling the accounts of others to use the services of Yubibao platform;

(5) Engage in any behavior that may infringe the system of the Yubibao platform;

(6) Violation of the agreement and the rules of the Yubibao platform;

In addition to the above reasons, depending on the risk management and our own business operations, we may also terminate the provision of this service to you, at that time the company will announce in advance or fully inform. In view of this is our normal business decision-making behavior, if you are therefore unable to use this service or the service is restricted, you understand that we are not responsible for this.

7.3 Assignment of rights and obligations of the agreement

Without our written consent, you may not transfer the rights and obligations under this agreement to any third party. However, in order to provide you with continuous services, after written notice or online announcement, we can transfer all or part of the rights and obligations under this agreement to a third party.

8. Notification

During the implementation of this agreement, the written notices we send to you include but are not limited to mailing paper notices, announcements on the Yubibao platform, emails, text messages, and faxes. If we send you written notice by mail, it will be deemed to be served on the third natural day after we have mailed to you at the correspondence address that we or LBank keeps. If written notice is sent by electronic means such as announcements on the Yubibao platform, e-mail, text messages, and faxes, it will be deemed to be served if the notice is successfully sent.

9. Any disputes arising from or related to this agreement shall be resolved by negotiation between the two parties (or the three parties). If the negotiation fails, the two parties (or the three parties) unanimously agree to settle the case in the court located at the TAMC.
